Founding agreement

Version 1.0 - October 2026

These terms form the Founding Creator Agreement (the "Agreement") between THE s.r.o., a limited liability company with its registered office in Slapanice, Czech Republic, registered in the Commercial Register kept by the Regional Court in Brno, the operator of theleva.com (the "Company" or "LEVA"), and the person or company accepted into the LEVA Founding Creator Program (the "Creator"). The Agreement is concluded when both parties sign the Creator acceptance form electronically.

1. Definitions

  • Program - the LEVA Founding Creator Program described in this Agreement.
  • Program Start Date - the date the first Founding Creator Agreement is signed by any creator.
  • Slot - one of ten places in the Program. There are never more than ten.
  • Referral Link - the personal link to theleva.com that the Company issues to the Creator, carrying the Creator's code.
  • Qualified User - a unique person with a LEVA account and a verified email who creates at least one shared budget on theleva.com. A budget is shared automatically after 10 changes, or by the user. Each Qualified User counts once, however many budgets they create.
  • Attributed User - a Qualified User whose first visit came through the Creator's Referral Link, or through a link shared by one of the Creator's Attributed Users, no more than 60 days before the account was created. A Qualified User is attributed to one creator at most, permanently.
  • Recruited Creator - a creator who joined the Program through the Creator's introduction, as recorded in that creator's agreement.
  • Credited Users - the Creator's own Attributed Users plus the Credited Users of every creator they recruited, down the whole chain.
  • Virtual Share - the Creator's contractual right to a percentage of the proceeds of a Payout Event under Article 7. It is not a share in the Company.
  • Dashboard - the page where all creators in the Program see the counts and shares of every creator.

2. Subject of the Agreement

  1. The Creator promotes LEVA to their audience under Article 6.
  2. In return, the Company grants the Creator a Virtual Share calculated under Articles 3 to 5.
  3. The Creator pays nothing to join the Program or to keep their Slot.

3. The pool and the Creator's share

  1. Each filled Slot adds 4% of the Company to the possible pool. With all ten Slots filled, the possible pool is 40%.
  2. The pool earned equals the possible pool multiplied by the ratio of all Attributed Users of all creators to all Qualified Users on theleva.com.
  3. The Creator's Virtual Share equals the pool earned multiplied by the ratio of the Creator's Credited Users to the Credited Users of all creators.
  4. Qualified Users from any other source, including the Company's own work, search and partners, count in all Qualified Users but in no creator's count.
  5. A Recruited Creator's users are credited to them and also to every creator above them in the chain. The Creator acknowledges that this chain credit moves part of the pool towards creators who recruit.
  6. Shares are recalculated daily. The Creator's percentage can fall while the value of their Virtual Share rises, for example when another creator brings a large number of users.

4. Slots

  1. The Company selects creators at its discretion. A person or a company can hold a Slot, one Slot each.
  2. The Creator's count starts on the day this Agreement is signed. Users attributed before that day do not count.
  3. When all ten Slots are taken, a new creator joins only when a Slot becomes free. A freed Slot can be filled again and the new creator starts from zero.
  4. A creator who introduces another creator is named in the new creator's agreement. This is the only way a chain is recorded.

5. Counting and the Dashboard

  1. The Company counts Qualified Users from its own records: accounts, shared budgets and the Referral Link code stored at the first visit. Links shared by an Attributed User carry the Creator's code, so people who arrive through them are attributed to the Creator.
  2. The following do not count: the Creator's own accounts, accounts created by or for the Creator, bots, several accounts of one person, users paid or rewarded to sign up, and shared budgets made without real work in a configurator. The Company may exclude such users and tells the Creator which users were excluded and why.
  3. All creators see the Dashboard with each creator's name, photo, social profile links, counts, chain, the pool and every current share. Shares are shown in percent of the Company, never in money.
  4. Once a year the Creator may ask for an anonymised export of their counted users to check the figures.
  5. The Creator keeps the figures of other creators confidential and does not publish them.

6. Creator's obligations

  1. Publish at least one post or video featuring LEVA each month.
  2. Mark every post featuring LEVA as a paid partnership or with a clear tag such as #ad, under the rules of the audience's country (the FTC in the United States, the ASA in the United Kingdom). Holding a Virtual Share is a material connection and must be disclosed.
  3. Make no false claims about prices, savings or the features of LEVA.
  4. Follow the rules of each platform and group: no spam, no fake accounts, no paid sign-ups.
  5. While holding a Slot, do not promote a directly competing construction configurator or budgeting platform.
  6. The Creator keeps all rights to their own content. The Creator allows the Company to show the Creator's name, photo and public social profile links on the Dashboard and on the Program pages for as long as this Agreement lasts.

7. Payout

  1. The Virtual Share is paid in cash only at a Payout Event, and never before 24 months from the Program Start Date.
  2. A Payout Event is (a) a sale of the Company or of a majority of its shares, or (b) an investment round in which the investor agrees to buy out Virtual Shares.
  3. The amount paid equals the Creator's share multiplied by the value of 100% of the Company at that event, meaning the sale price or the pre-money valuation of the round, less the Company's debt and the costs of the event.
  4. For a creator who is paid out, the share is calculated on the day of the Payout Event and stops changing from then on.
  5. After 24 months from the Program Start Date, if at least three creators ask for a payout, the Company will seek in good faith a buyer or an investor willing to buy out Virtual Shares, for example a venture fund. The Company does not promise that one will be found and does not buy Virtual Shares with its own money.
  6. When the Company issues new shares, Virtual Shares are diluted in the same proportion as the existing shares.
  7. At a priced investment round the Company may offer creators to convert Virtual Shares into real shares. It is not obliged to.

8. Term and leaving the Program

  1. This Agreement lasts until the Creator is paid out at a Payout Event or until it ends under this Article.
  2. The Creator may end this Agreement at any time with 30 days' written notice.
  3. First 6 months. A Creator who leaves or is removed within 6 months of signing keeps nothing.
  4. Good leaver. A Creator who leaves after 6 months, or whose Slot the Company frees because the Creator published no LEVA content for 3 months in a row, keeps their Credited Users as of the leaving date. They stay in the share calculation with that frozen count.
  5. Bad leaver. A Creator who commits fraud, seriously breaches this Agreement or deliberately harms the reputation of LEVA loses all Virtual Shares and Credited Users. The Company ends the Agreement by written notice stating the reason.
  6. Recruited Creators are not affected when the Creator leaves. Users they bring after the leaving date no longer count for the Creator.

9. Other income

These are separate from the Program and governed by their own terms.

  • Author products. A Creator's own design sold on LEVA earns the Creator 50% of net sales.
  • Affiliate shopping list. When the feature is available, the Creator can attach their own affiliate links to the materials in their shared budget. LEVA takes no commission from it.

10. Nature of the Virtual Share

  1. The Virtual Share is compensation for promotional services. It is not an investment and not an offer of securities.
  2. The Virtual Share gives no ownership of the Company, no vote and no dividend.
  3. The Virtual Share cannot be sold, transferred or pledged, except to the Creator's heirs.
  4. The Creator acts as an independent contractor. Nothing in this Agreement creates an employment relationship or a partnership.

11. Taxes

The Creator handles their own taxes on any payout. The Company may ask for the tax forms it needs to make a payment.

12. Personal data

The Company processes the Creator's personal data only to run the Program and this Agreement, in line with the EU General Data Protection Regulation and the LEVA privacy policy.

13. Changes to these terms

  1. The Company may change these terms with 30 days' notice on the Dashboard and by email.
  2. A change never reduces Credited Users already counted.
  3. A Creator who does not accept a change may end this Agreement before it takes effect and leaves as a good leaver if they have held the Slot for at least 6 months.

14. Governing law and signing

  1. This Agreement is governed by the law of the Czech Republic. Disputes are decided by the courts of the Czech Republic.
  2. This Agreement is written in English and signed electronically. On request, the Company provides its signature certified by a Czech notary.
  3. If any provision of this Agreement is invalid, the rest of the Agreement remains in force.
