These terms form the Author Project Agreement (the "Agreement") between THE s.r.o., Company ID No. (ICO) 06626084, a limited liability company with its registered office in Slapanice, Czech Republic, registered in the Commercial Register kept by the Regional Court in Brno, the operator of theleva.com ("LEVA"), and the person or company identified when signing (the "Author").

LEVA offers this Agreement by sending the Author a personal signing link. The Agreement is concluded when the Author signs it electronically on the signing page. The Personal Terms shown on that page (the Author Project and the Commission Rate) form part of this Agreement and are stored with the signature.

1. Definitions

• Author Project - the project LEVA prepares from the Author's design and materials and offers on theleva.com under the Author's name: its 3D model, its configurator or configurator variant, documentation, bill of quantities, shopping list and product page.
• Author Materials - the Author's own design of the project, drawings, photos, videos, texts and other materials the Author sends to LEVA.
• LEVA Work - the 3D model, configurator, documentation, bills of quantities, renders and software that LEVA creates for the Author Project.
• Net Sale - the price a customer pays for the Author Project on theleva.com, after discounts, without taxes and shipping, and less any refund.
• Commission Rate - the percentage stated in the Personal Terms. It is never lower than 50%.

2. Preparation of the Author Project

1. LEVA prepares the Author Project at its own cost. The Author pays nothing, now or later, for the preparation or for being on LEVA.
2. The Author sends the materials LEVA needs, usually a few photos and the rough dimensions of the build.
3. Before publication LEVA sends the Author a link to the prepared Author Project. The Author may ask for changes to the 3D model, the bill of quantities, the shopping list and the configurator, and LEVA makes reasonable changes.
4. Nothing is published without the Author's approval. The Author approves by email.
5. LEVA sets the price of the Author Project and any launch or seasonal discount after agreeing them with the Author.

3. Ownership and license

1. The Author keeps all ownership and intellectual property rights in the Author Materials, including the design itself.
2. This Agreement is non-exclusive. The Author remains free to build, sell, publish and license the design and the Author Materials anywhere else.
3. The Author grants LEVA a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt and translate the Author Materials in order to prepare, offer and present the Author Project and to present the Author as its author on theleva.com and in LEVA's marketing, including on social networks. The license lasts for as long as the Author Project is offered; marketing materials published during that time may stay online afterwards.
4. The LEVA Work belongs to LEVA. LEVA will not offer the Author's design under another name or another author, and will not use the Author Materials for any other product without the Author's consent.
5. The Author's name, profile photo and the links the Author provides are shown with the Author Project.

4. Commission

1. LEVA pays the Author the Commission Rate of every Net Sale of the Author Project.
2. A commission is approved 30 days after the order is paid, unless the order has been refunded or cancelled by then. A refund made later is deducted from the next payment.
3. No commission is due on the Author's own orders or on orders LEVA cancels as fraudulent.
4. Approved commissions are paid once a month, by the 15th day of the following month, by PayPal or Wise to the account the Author names, once they reach USD 50. A smaller amount carries over to the next month. Commissions are paid in US dollars; an order in another currency is converted at the rate Shopify used for that order.
5. The Author sees the sales and commissions of the Author Project in LEVA's royalty dashboard, opened through a link sent to the Author's email address, and receives an email on each day with a sale.

5. Affiliate shopping list

1. The Author may attach their own affiliate codes or links to the materials and tools in the Author Project's shopping list and change them at any time.
2. The stores pay the Author directly under the Author's own agreements with them. LEVA takes no share of that income and is not a party to those agreements.
3. The Author follows the rules of each affiliate program, including the disclosure rules of the program and of the Author's audience's country.

6. The Author's statements

1. The Author is the author of the design or is otherwise entitled to present it, and owns the Author Materials or holds every permission needed to send them and to grant the license in Article 3.
2. When the Author promotes the Author Project, the Author marks the post as a partnership with LEVA where the rules of the platform or of the audience's country require it.
3. The Author is at least 18 years old, or signs for a company that is entitled to enter into this Agreement.

7. Term and ending

1. This Agreement lasts for an indefinite period.
2. The Author may end it at any time by email to info@theleva.com. LEVA stops offering the Author Project within 30 days.
3. LEVA may end it with 30 days' notice by email, for example when it stops offering the Author Project.
4. Commissions on sales made before the end remain due and are paid under Article 4. Customers keep the products they bought.

8. Taxes

The Author handles their own taxes on commissions. LEVA may ask for the tax forms it needs to make a payment.

9. Personal data

LEVA processes the Author's personal data only to run this Agreement and the Author Project, in line with the EU General Data Protection Regulation and the LEVA privacy policy. The details given when signing and the payout account are used to identify the parties and to make payments; they are never shown publicly.

10. Changes

This Agreement can be changed only by a new version that the Author signs. A higher Commission Rate agreed by email applies from the date of that email.

11. Governing law and signing

1. This Agreement is governed by the law of the Czech Republic. Disputes are decided by the courts of the Czech Republic, unless mandatory law of the Author's country provides otherwise.
2. This Agreement is written in English and signed electronically. LEVA may provide a translation, and the Author may sign the translation; if a translation differs from the English text, the English text prevails. On request, LEVA provides its signature certified by a Czech notary.
3. If any provision of this Agreement is invalid, the rest of the Agreement remains in force.
